1. PROMOTER: The promoter of this Competition is F50 League LLC, One Liberty Plaza, 165 Broadway, New York, NY 10006 USA (“SailGP”) and Maui Jim, Inc, One Aloha Lane, Peoria, Illinois, 61615 (“Maui Jim”) (collectively, the “Promoter”)

2. COMPETITION. The Competition is part of SailGP’s build up to the Season 3 Grand Final in San Francisco and its partnership with Maui Jim as the Official Eyewear Partner of SailGP offering fans the chance to win a VIP trip for two (2) people to SailGP’s Season 3 Grand Final in San Francisco 2023 (the “Event”) in addition to two (2) pairs of Maui Jim sunglasses and SailGP merchandise.

3. ENTRY PERIOD. This Competition entry period begins on 00:00 GMT on Monday 12 December 2022 and ends at 12:00 GMT on 19 February 2023 (the “Entry Period”). No entries shall be accepted before or after the Entry Period.

4. ELIGIBILITY. This Competition is open only to individual legal residents of the United States of America (including its territories and possessions), Canada, Mexico, the United Kingdom, Sweden, Denmark, Germany, France, Spain, Italy, the UAE, China, Australia and New Zealand who are 21 years or older as of the date of entry into the Competition. Employees and non-employee workers of SailGP, Maui Jim and each of their respective affiliates, officers, directors, employees, agents, the judges, and members of each of their immediate families (i.e. spouses, parents, children and siblings, and their respective spouses) and those living in the same household of each are not eligible to enter this Competition. This Competition is subject to all applicable laws and regulations and is void where prohibited by law or regulation.

5. HOW TO ENTER.
   5.1. Online Entry: During the Entry Period, go to https://pages.sailgp.com/sailgp-mauijim-competition and

   a) complete the entry form;
   b) follow SailGP on Instagram; and
   c) follow Maui Jim on Instagram.

   5.2. By successfully completing an entry as directed, you will be entered in the Competition. There are no other methods of entry. All information submitted online is subject to SailGP’s Privacy Policy, available at www.sailgp.com/privacy. Incomplete or inaccurate entry forms will not be accepted and are void. All entries must include a valid email address for the entrant. LIMIT OF ONE (1) ENTRY PER PERSON.

   5.3. No Other Methods of Entry: Any attempted form of entry other than as described herein is void. Entries in violation of these Official Rules, as determined by SailGP in its sole discretion, will be disqualified. Only entries received by the end of the Entry Period will be considered. Any entry that includes illegal, false, or fraudulent information, obscenities, objectionable material, or which defames or otherwise infringes upon any third party’s personal or proprietary rights, as determined by SailGP in its sole discretion, will be disqualified. Any attempt by an entrant to obtain more than the stated number of entries by using multiple/different email addresses or identities will void such entries and that entrant may be disqualified, as determined by SailGP in its sole discretion.

   5.4. This Competition is in no way sponsored, endorsed or administered by, or associated with Facebook/Twitter/Instagram. Entrants are providing their information to SailGP and not to Facebook/Twitter/Instagram. The information provided will only be used for purposes as detailed in clause 11.

6. SELECTION OF WINNER.
   6.1. Random Drawing: The potential winner (“Potential Winner”) of the Competition will be determined from all eligible entries in a random drawing that will take place as soon as practicable following the end of the Entry Period, but in no event later 10:00 a.m. GMT on 28 February 2023.

   6.2. In the event there are no entries during the Entry Period, there will be no drawing and the Prize will not be awarded.

   6.3. Notification: The Potential Winner will be notified by Direct Message on Instagram by SailGP to the Instagram Handle provided with the Potential Winner’s entry. The Potential Winner must continue to comply with these Official Rules and winning is contingent upon fulfilling all requirements. If the Potential Winner fails to respond by email to SailGP within three (3) days of notification, the Potential Winner shall be deemed to have forfeited the Prize. The Potential Winner shall be required to provide his or her name, address, age and other necessary information to verify eligibility and receive the Prize. Further, SailGP may request and Potential Winner agrees to provide an affidavit of eligibility and liability/publicity release covering eligibility, liability, advertising, publicity and media appearance issues, unless prohibited by law. A Prize will not be awarded until necessary information has been collected and all properly executed forms are returned (“Verification”). Upon completion of Verification a Potential Winner shall become a winner (“Winner”). The decisions of SailGP are final and binding on all matters relating to this Competition.

   6.4. Odds: The odds of winning the Competition depends on the total number of eligible entries received.

7. PRIZE

   7.1. The Winner will win:

   a) Roundtrip airfare for two (2) passengers to San Francisco International Airport (SFO) from any commercial passenger airport in the USA, Canada, Mexico, London, Copenhagen, Berlin, Paris, Madrid, Milan, Dubai, Beijing or Sydney;
   b) a twin or double room for up to four (4) nights in a 3 star or superior hotel (depending on availability) including breakfast for two (2) people;
   c) two (2) pairs of Maui Jim sunglasses which will be fitted at the Maui Jim commercial booth at the Season 3 Grand Final in San Francisco;
   d) two (2) On Water Premium Tickets to the Event; and
   e) a selection of SailGP merchandise up to the value of US$150.

   7.2. Taxes, if any, are the sole responsibility of the Winner. No other substitution or transfers of prizes are permitted. Maui Jim is solely responsible for the provision and delivery of (a), (b), and (c) of the Prize. SailGP is responsible only for the provision and delivery of (d) and (e) of Prize, and is not responsible for Prize utility, quality or otherwise.

8. ADDITIONAL CONDITIONS OF ENTRY

   8.1 By entering this Competition, each entrant shall be deemed to have been made aware of these Official Rules and to have accepted and agreed to comply with and be bound by these Official Rules which are final and binding in all matters related to the Competition.

   8.2 SailGP reserves the right to disqualify any entry into this Competition (and void all associated entries) or entitlement to a Prize if, in the sole discretion of SailGP, it determines or suspects that an entrant has attempted to undermine the legitimate operation of the Competition.

   8.3 SailGP reserves the right in its sole discretion to cancel, modify or suspend Competition at any time with or without notice if fraud, technical failures (including any network server or hardware failure), viruses, bugs, errors in programming, or any other causes corrupt the administration, security or integrity of this Competition. In the event of cancellation, SailGP reserves the right to select a Potential Winner from among all eligible, non-suspect entries received up to the time of such cancellation.

   8.4 Any attempt by any entrant or other individual to deliberately damage any website or undermine the legitimate operation of this Competition, including but not limited to any fraudulent claims, is a violation of criminal and civil laws. Should any such an attempt be made, SailGP reserves the right to seek remedies and damages (including attorney’s fees) from any such individual, to the fullest extent permitted by law, including criminal prosecution. An entrant engaging in any of the foregoing activities may be disqualified (and all associated entries will be void) and will forfeit any Prize won.

   8.5 SailGP does not warrant that access to this Competition will be uninterrupted. SailGP is not responsible for, and you hereby waive any claim arising from, any problems that may arise, including, without limitation: (i) inaccessible or unavailable networks, websites, or other connection or accessibility problems; (ii) failed, delayed or misdirected communications, including any lost, late, stolen, incomplete, illegible or undelivered entries; (iii) technical malfunctions, printing, clerical, or other errors in connection with the administration of this Competition or the offering or announcement of any Prize; (iv) the incorrect or inaccurate capture of information, or the failure to capture any information in connection with this Competition; (v) damage to a user’s system occasioned by participation in this Competition; or (vi) any other errors of any kind relating to, or in connection with this Competition.

9. LIMITATIONS OF LIABILITY AND RELEASE.

   9.1. As a condition of entering, you agree: (i) to release SailGP from any and all liability, loss or damage incurred with respect to participating in this Competition or the awarding, receipt, possession, and/or use or misuse of any Prize or activity related thereto; (ii) that under no circumstances will you be permitted to obtain awards for, and you hereby waive all rights to claim, punitive, incidental, consequential, or any other damages (other than for actual out-of-pocket expenses) from SailGP, (iii) all causes of action arising our of or connected with this Competition or any Prize awarded shall be resolved individually, without resort to any form of class action; and (iv) any and all claims, judgments and awards shall be limited to actual out-of-pocket costs incurred, and in no event will you be entitled to receive attorney’s fees or court costs. Some jurisdictions may not allow certain limitations on damages or the ability to seek damages through a class action, so some of these restrictions may not apply to you.

   9.2. Entrants accept that SailGP and Maui Jim’s Instagram pages are offered on an “as is” and “as available” basis. While SailGP and Maui Jim take all reasonable steps to ensure that the Instagram page is properly functioning at all times, each Party does not warrant that the Instagram page will be uninterrupted, timely, secure or error-free, that defects will be corrected, or that the Instagram page or the server that makes it available are free of software viruses or bugs or other defects. SailGP or Maui Jim has no control over, and disclaims all responsibility for, any content which entrants, may encounter, or events which may occur as a result of any use of the Instagram page to the fullest extent permitted by law, and SailGP and/or Maui Jim shall not be liable for any damages or other losses of any type whatsoever incurred by you as a result of their use of the Instagram page.

   9.3 SailGP does not exclude liability for death or personal injury, or any other losses which cannot be excluded or limited by law. However, by accepting these Official Rules, you accept that, to the fullest extent permitted by law, SailGP cannot be liable to you for any loss or damage which you may suffer as a result of using the Facebook/Twitter/Instagram page. Users must take their own precautions (including but not limited to installing adequate protective measures to guard against software viruses and ensuring that up-to-date copies are made of all data) to protect you against loss or damage.

10. INTELLECTUAL PROPERTY AND PUBLICITY RELEASE.

    10.1 All Competition entries and any accompanying material submitted to SailGP will become the property of SailGP on receipt and will not be returned.

    10.2 By submitting your Competition entry and any accompanying material, you agree to:

    a) assign to SailGP all your intellectual property rights with full title guarantee; and
    b) waive all moral rights,

    in and to your Competition entry and otherwise arising in connection with your entry to which you may now or at any time in the future be entitled under the Copyright, Designs and Patents Act 1988 as amended from time to time and under all similar legislation from time to time in force anywhere in the world.

    10.3. You agree that SailGP may, but is not required to, make your entry available on its website, social media channels and any other media, whether now known or invented in the future, and in connection with any publicity of SailGP and/or the Competition. You agree to grant SailGP a non- exclusive, worldwide, irrevocable licence, for the full period of any intellectual property rights in the Competition entry and any accompanying materials, to use, display, publish, transmit, copy, edit, alter, store, re-format and sub-licence the competition entry and any accompanying materials for such purposes.

    10.4. Participation in this Competition and/or acceptance of any Prize constitutes permission for SailGP to use, without notice or further compensation, worldwide and in perpetuity, any entrant’s entry, photo, video, likeness, biographical information, including, without limitation, advertising and promotional purposes as well as in, on or in connection with SailGP’s website or this Competition, and entrant hereby releases SailGP Entities from any liability with respect thereto (each a “Publicity Release”).

11. DATA PROTECTION. Personal data which is provided by you when you enter the Competition will be processed in a database for the purpose of managing entry into the Competition. By providing us with any personal information, you consent to the processing and storage of your personal information for this purpose. If you withdraw your consent, you will be withdrawn from the Competition. Please read SailGP’s Privacy Policy, available at www.sailgp.com/privacy to understand more about how SailGP will process your personal information.

12. DISPUTES. This Competition and any dispute or claim arising out of or in connection with it or its subject matter or formation (including non-contractual disputes or claims) shall be governed by and construed in accordance with the law of England and Wales. Each Party irrevocably agrees that the English courts shall have exclusive jurisdiction to settle any dispute or claim arising out of or in connection with this Competition or its subject matter or formation (including non-contractual disputes or claims).
